Please read these terms carefully before using Questify. By using our platform, you agree to be bound by the terms below.
1. Acceptance of Terms
By accessing or using the Questify platform (the "Service"), you agree to be bound by these Terms of Service. If you do not agree to these terms, you may not use the Service. These Terms apply to all visitors, users, creators, and brands who access or use the Service.
2. Description of Service
Questify is an online platform that connects brands and businesses ("Brands") with independent creative professionals ("Creators") through quest-based projects. Brands post quests with defined requirements and rewards. Creators submit their work. Brands review submissions and select winners to receive the posted reward.
3. User Accounts
You must create an account to access most features of the Service. You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account. You must provide accurate, current, and complete information during registration. You may not use another person's account or transfer your account to another person without prior written permission from Questify.
4. Creator Obligations
As a Creator, you agree that all work you submit is original and does not infringe on the intellectual property rights of any third party. You grant Questify a limited license to display your submitted work within the platform for evaluation purposes. Upon selection as a winner, you assign all rights to your submission to the Brand as defined in the quest terms, unless explicitly stated otherwise. You are solely responsible for the quality of your work and for meeting the stated quest requirements.
5. Brand Obligations
As a Brand, you agree to fund the quest reward before it becomes publicly visible on the platform. You agree to review all valid submissions in good faith and select a winner within the stated timeline. Failure to select a winner within 14 days of the quest closing date may result in automated resolution at Questify's discretion. You may not use submissions from non-winning creators without their explicit consent and additional compensation.
6. Payments and Rewards
Rewards are held in escrow by Questify upon quest creation and released to winners following selection. Questify charges a platform fee on each transaction, which is disclosed at the time of quest creation. Payouts are processed within 3-5 business days of winner selection. Creators are responsible for any taxes applicable to their earnings. Questify will issue required tax documentation where applicable under law.
7. Intellectual Property
Unless otherwise specified in a quest, by accepting a reward, Creators assign all intellectual property rights in the winning submission to the Brand. Non-winning submissions remain the property of their respective Creators. The Questify name, logo, and platform design are trademarks of Questify Labs and may not be used without express written permission.
8. Prohibited Conduct
You agree not to: (a) submit content that is unlawful, harmful, defamatory, or obscene; (b) impersonate any person or entity; (c) use automated tools to access or interact with the platform; (d) attempt to circumvent the platform's payment system by conducting transactions off-platform; (e) harass, abuse, or harm other users; (f) submit work that infringes on third-party intellectual property rights; or (g) engage in any activity that disrupts or interferes with the Service.
9. Termination
Questify reserves the right to suspend or terminate your account and access to the Service at any time, for any reason, including breach of these Terms, with or without prior notice. Upon termination, any pending payouts owed to you will be processed according to our standard payout schedule. Brands with active quests at termination will receive a refund of unallocated escrow funds.
10. Disclaimer of Warranties
The Service is provided on an "as is" and "as available" basis without warranties of any kind, either express or implied. Questify does not warrant that the Service will be uninterrupted, error-free, or free of viruses or other harmful components. Questify makes no representations about the suitability, reliability, availability, timeliness, or accuracy of the content, services, or related graphics on the platform for any purpose.
11. Limitation of Liability
To the maximum extent permitted by applicable law, Questify Labs shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of revenue, loss of profits, or loss of data, arising from your use of the Service. Our total liability for any claim arising out of or relating to these Terms or the Service shall not exceed the total fees paid by you to Questify in the twelve months preceding the claim.
12. Governing Law
These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law provisions. Any disputes arising under or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts located in Delaware.
13. Changes to These Terms
Questify may update these Terms of Service from time to time. We will notify registered users of material changes via email or an in-platform notification at least 14 days before the changes take effect. Continued use of the Service after the effective date constitutes your acceptance of the revised Terms. If you do not agree to the updated Terms, you must stop using the Service.
